These Terms of Use ("Terms") govern your access to and use of the website www.torontovka.com (the "Site") and any related services, features, content, advertising, subscriptions, or business listings (collectively, the "Services") operated by Torontovka Inc ("Company", "we", "us", or "our").
By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.
1. Definitions and Interpretation
Unless otherwise specified, the terms "includes", "including", "e.g.", "for example", and similar expressions shall be deemed to include the words "without limitation".
Headings are for convenience only and do not affect interpretation. Capitalized terms used but not otherwise defined shall have the meanings given to them elsewhere in these Terms.
2. Eligibility and Use of the Site
You represent and warrant that:
- You are at least 13 years of age to browse, and the age of majority to register an account or post listings. and
- You have the legal capacity to enter into these Terms.
You agree to use the Site and Services only for lawful purposes and in compliance with applicable laws and regulations.
3. Business Listings, Content, and Third Parties
Torontovka.com operates as an information and advertising platform.
We do not own, control, endorse, or guarantee any third-party business, service, product, or offer listed on the Site.
- All listings are provided by third parties.
- The accuracy, completeness, legality, and quality of listings are the sole responsibility of the listing owner.
- Any interaction, transaction, or dispute between you and a listed business is strictly between you and that business.
The Company is not liable for any loss or damage arising from reliance on third-party listings or advertisements.
4. User-Generated Content (UGC) & Licensing
You retain ownership of any intellectual property rights that you hold in the content you submit, post, or display on the Site (e.g., classified ads, forum posts, images).
By submitting content, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, adapt, publish, translate, and distribute such content in any media. You explicitly waive all "moral rights" to such content, allowing the Company to modify or format it as necessary for the operation of the Site.
You represent and warrant that you own or have the necessary rights to post the content and that it does not violate the rights of any third party. The Company reserves the right, but has no obligation, to remove any content that violates these Terms or applicable laws (including the Copyright Act of Canada).
5. Paid Listings, Subscriptions, and Services
Certain Services may require payment, including premium or advanced business listings.
Unless otherwise stated:
- Fees are charged in Canadian dollars.
- Payments are non-refundable except as required by applicable law.
- The Company does not guarantee business performance, leads, revenue, or results from any listing or subscription.
The Company reserves the right to suspend, reject, modify, or remove any listing that violates these Terms or applicable law.
6. Consumer Rights (Ontario)
Nothing in these Terms limits or excludes any rights you may have under applicable consumer protection legislation, including the Ontario Consumer Protection Act, 2002.
In the event of a conflict between these Terms and applicable consumer protection laws, such laws shall prevail.
7. Privacy and Personal Information (PIPEDA)
The Company collects, uses, discloses, and safeguards personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws.
By using the Site or Services, you consent to the collection, use, disclosure, and retention of personal information as described in our Privacy Policy, which forms an integral part of these Terms.

- Business and listing details

- Providing and managing Services and listings

- Improving Site functionality

You may request access to, correction of, or deletion of your personal information, subject to legal and contractual restrictions, by contacting us using the information provided on the Site.
8. Electronic Communications

You agree that electronic communications satisfy any legal requirement that such communications be in writing.

12. Suspension and Termination
The Company may suspend or terminate your access to the Site or Services at any time, with or without notice, if you violate these Terms or applicable laws.
Termination does not affect rights or obligations that by their nature should survive termination.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any dispute arising out of or relating to these Terms, the Site, or the Services shall be brought exclusively in the courts located in Ontario, Canada.
14. Entire Agreement and Severability
These Terms constitute the entire agreement between you and the Company regarding the use of the Site and Services and supersede all prior agreements or understandings.
If any provision of these Terms is held unlawful, invalid, or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.
